Private Limited Company Annual Return Filing FAQs

Which annual ROC forms normally apply?

Companies commonly review AOC-4 for financial statements and MGT-7 or MGT-7A for annual return, together with DIR-3 for Director E-kyc, ADT-1 for auditor appointment etc.

What if the annual filing is overdue?

Additional fees and compliance exposure can continue until filing. Prepare a year-wise status sheet before submitting forms out of sequence. If company fails to file MGT-7/7A and AOC-4 for continuous period of more than 2 years the registrar of companies can initiate strike of private limited company. And Directors will be disqualified if AOC- and MGT7/7A is pending for more than 3 consecutive years.  

Does a company with no business still file annual returns?

Yes, AOC-4 and MGT-7A/7 should be filed for every year as mandatory compliances, only exception is a new company registered on or after the first day of January of the financial year can adopt 15 months as first financial year for for purpose of auditing of accounts and other process.

Are DIR-3 KYC and DPT-3 included?

Not included. The DIR-3 KYC filing is director specific and DPT-s is reporting the outstanding loans, deposits as on the 31 st March of the financial year therefore it is entirely different subject and can be added as additional services..

What records should be preserved?

Keep signed financial statements, board and AGM records, resolutions, filed forms, challans and SRNs together with the statutory registers.
